By accessing our services, creating an account, or completing a payment via our direct payment links or checkout portals, you (“Client”, “User”, “you”) agree to be bound by these Terms. If you disagree with any part of these terms, you may not access or purchase our services.
1. Scope and Provision of Services
1.1. Service Description: The Provider agrees to deliver the specific consulting, professional, or other agreed services selected by the Client at the time of purchase or checkout. 1.2. No Guarantee of Specific Results: While the Provider commits to professional diligence, the Client acknowledges that the outcomes of professional services depend on various external factors. The Provider makes no guarantees, explicit or implied, regarding specific final results or metrics. 1.3. Eligibility: The Provider reserves the right to refuse service, terminate accounts, or cancel orders at its sole discretion if a conflict of interest, capacity limitation, or breach of company policy occurs.
2. Fees, Billing, and Tiers
2.1. Pricing Structures: Services are billed based on the specific tier, package, or volume-based pricing active at the time of checkout. Prices are subject to change, but changes will not impact services already purchased. 2.2. Account Accuracy: If you are accessing services under any specific discounted, subsidized, or customized account tier, you certify that all information provided to qualify for that tier is accurate. Misrepresentation will result in immediate billing adjustment to standard commercial rates. 2.3. Cancellation and Non-Refundability: Payments for scheduled service blocks, upfront administrative fees, or customized project milestones are non-refundable once the onboarding process, file review, or work has commenced.
3. Client Responsibilities
3.1. Cooperation and Information: The Client agrees to provide complete, truthful, and timely information, assets, or documentation necessary for the Provider to successfully deliver the services. 3.2. Communication and Conduct: Timely communication is vital. Failure to respond to requests for information, missed appointments without 24-hour notice, or unprofessional behavior toward staff may result in the immediate suspension or termination of services without a refund.
4. Intellectual Property & Confidentiality
4.1. Proprietary Materials: Any materials, methodologies, or frameworks provided by the Provider during the delivery of services remain the intellectual property of the Provider unless explicitly transferred in writing. 4.2. Mutual Confidentiality: Both parties agree to protect and keep confidential any sensitive business, proprietary, or personal data disclosed during the term of the service agreement.
5. Limitation of Liability
5.1. To the maximum extent permitted by applicable law, the Provider and its officers, directors, employees, or contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, or goodwill—resulting from your use of, or inability to use, our services.
6. Termination
6.1. We reserve the right to terminate or suspend access to our services, user accounts, or payment portals immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.
7. Governing Law
7.1. These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any legal actions must be filed in the courts of this jurisdiction.
8. Changes to Terms
8.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice prior to any new terms taking effect.
